This End User License Agreement (“EULA”) is a legal agreement between Pollux Tech, Inc. (“Pollux,” “we,” or “our”) and the individual or entity (“you” or “User”) using the Pollux platform or any associated software (the “Software”). By accessing, installing, or using the Software, you agree to be bound by the terms of this EULA.
If you do not agree to the terms of this EULA, you must not access, install, or use the Software.
1. License Grant
Subject to your compliance with this EULA and the associated Terms and Conditions, Pollux grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Software solely for your internal business purposes.
2. Restrictions on Use
You agree not to:
a. Copy, modify, distribute, or create derivative works based on the Software.
b. Reverse-engineer, decompile, disassemble, or attempt to discover the source code of the Software.
c. Remove, alter, or obscure any copyright, trademark, or proprietary notices within the Software.
d. Use the Software for unlawful purposes or in violation of any applicable laws or regulations.
e. Share access to your account or license with unauthorized users.
3. Ownership and Intellectual Property
The Software and all associated intellectual property rights, including but not limited to trademarks, copyrights, workflows, and proprietary algorithms, are owned exclusively by Pollux Tech, Inc.
4. Updates and Modifications
Pollux may release updates, patches, or modifications to the Software at its sole discretion.
5. Term and Termination
This EULA is effective as of the date you first access or use the Software and will remain in effect until terminated.
6. Disclaimer of Warranties
The Software is provided on an “as is” and “as available” basis without any warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Pollux does not guarantee that the Software will be error-free, uninterrupted, or compatible with your hardware or systems.
7. Limitation of Liability
To the fullest extent permitted by law:
a. Pollux shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Software.
b. Pollux’s total liability under this EULA shall not exceed the amount you paid for the Software during the 12 months preceding the claim.
8. Governing Law
This EULA is governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising from this EULA shall be resolved exclusively in the state or federal courts located in Delaware.
9. Entire Agreement
This EULA constitutes the entire agreement between you and Pollux regarding the Software and supersedes any prior agreements or understandings.
